Agreement to Terms

Welcome to Stratick. These Terms of Service ("Terms") govern your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services and Deliverables

Service Scope

We provide various IT services including web development, mobile app development, digital marketing, and technology consulting. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate agreement or statement of work.

Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, materials, and access
• Respond to communications within agreed timeframes
• Make timely payments as per the agreed schedule

Intellectual Property Rights

Our Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Stratick or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Property

Upon full payment for services rendered, clients retain ownership of the final deliverables as specified in the project agreement. However, we retain the right to:

• Use the work in our portfolio and marketing materials
• Retain ownership of any pre-existing intellectual property
• Reuse general knowledge, skills, and techniques developed during the project

Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payments are due according to the agreed schedule
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated
• Prices are subject to change with notice

Warranties and Disclaimers

We strive to provide high-quality services, but we make no warranties or representations about the accuracy, reliability, or completeness of our services. Our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components. You use our services at your own risk.

Limitation of Liability

To the maximum extent permitted by law, Stratick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Stratick, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, for any reason including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our sole discretion

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of any agreement between the parties.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the laws of India.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Jaipur, Rajasthan, India.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Stratick regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
